Advice please - Specialized Tarmac Pro v SL3

Hi
I currently have a 2010 Tarmac Pro which is a FACT 10r frame but I have been offered a 2011 S-works SL3 frame in the same size in either red or astana colours. Can anyone advise if there will be any significant improvement if I purchase the SL3 frame or anything else I need to consider? thanks in advance for any comments
